Excel based IFRS 16 calculator

  1. The Contractor commits to the Customer that the Excel based IFRS 16 calculator will work as much as the Contractor showed to the Customer before purchasing Excel based IFRS 16 calculator.
  2. The Contractor shall transfer the Excel based IFRS 16 calculator to the Customer “as it is”. The Customer confirms that they understand that, in practice, it is impossible to ensure the functioning of the Excel based IFRS 16 calculator without any defects or errors. Therefore, the Contractor cannot guarantee the functioning of the Excel based IFRS 16 calculator without any disturbances or defects.
  3. The Contractor shall not be responsible for any results provided by Excel based IFRS 16 calculator and it is the sole responsibility of the Customer.
  4. The Customer gets the right to use the Excel based IFRS 16 calculator when he fully pays the invoice.
  5. The Customer shall use the Excel based IFRS 16 calculator solely for his needs, and the right to use the Excel based IFRS 16 calculator is not transferable.
  6. No intellectual property rights to the Excel based IFRS 16 calculator, any part of it, related trademarks, domain names, or other objects of the intellectual property or related materials shall be transferred to the Customer. For the purpose of this Agreement, the Parties shall consider that the intellectual property rights include all the rights and interests to all (a) patents, equipment models, patent applications, re-issuance, extensions, and updates; (b) registered and not registered trademarks, service marks, domain names, and all the related added value; (c) registered and not registered copyright and other rights to works or authors; (d) trade secrets, experience, conceptions, ideas, methods, processes, design, discoveries, improvements, and inventions, regardless of whether they are patented; (e) all other rights, including intellectual, industrial and property rights that exist at present or may appear in the future; (f) applications for registration, updates, and extensions of the aforementioned; and (g) exclusive and non-exclusive license rights to any of the aforementioned.
  7. The Contractor has the right to seek compensation for damages if the Customer breaches conditions 4 or 5 above.
